These Terms of Service (the "Terms") govern access to and use of the JAP cross-border communications platform, including our websites, console, APIs, numbers, messaging, voice, verification and connectivity services (together, the "Services"), provided by 1000 James Apartments LLC ("JAP", "we", "us"). By creating an account or using the Services you accept these Terms on your own behalf and on behalf of any organisation you represent.

1. The Services

JAP operates cross-border communications corridors: application-to-person messaging, omnichannel business messaging, international voice, identity verification, inbound number leasing and programmable connectivity. The Services are provided for lawful business communications only. Corridor availability, throughput, latency and delivery characteristics vary by destination and change as carrier, regulatory and network conditions change.

2. Accounts and registration

You must provide accurate registration information, including a valid email address or a valid mobile phone number — either identifier alone is sufficient to open an account — and you must keep your credentials confidential. You are responsible for all activity conducted under your account and API keys. We may require identity and business verification (KYC) before enabling production traffic in a given destination, and we may suspend or close accounts that fail verification or that supply false information.

3. Acceptable use

You may only send to recipients who have given valid, provable consent under the law of their jurisdiction. The following are prohibited: unsolicited bulk communications; deceptive, fraudulent or artificially inflated traffic; phishing and smishing; grey-route arbitrage and unauthorised transit; content prohibited by the destination country or by carrier codes of practice; and any traffic that infringes applicable law. You must honour opt-out requests, including STOP keywords, immediately, and maintain suppression lists for every destination you address.

4. Cross-border compliance and registrations

Many destinations require sender ID registration, 10DLC brand and campaign vetting, short code approval, content templates or local documentary evidence before traffic may be carried. Where JAP files these registrations on your behalf you agree to supply truthful and complete information, and to send only traffic consistent with the approved registration. You remain responsible for the lawfulness of your content in every destination you address. Regulatory and registry fees are passed through at cost unless agreed otherwise in writing.

5. Numbers and connectivity

Inbound numbers and eSIM profiles are leased, not sold. Title remains with JAP or the underlying licensed operator, and use is subject to the destination regulator's rules, including any residency, address-evidence or purpose restrictions shown at the point of lease. Numbers may be reclaimed where a regulator, carrier or law requires it, or where the lease is unpaid; where we have discretion we will give reasonable notice. Porting is supported where local rules permit.

6. Fees and settlement

Messaging is charged per delivered part, voice per connected second, verification per successful verification, and numbers and connectivity per the recurring fee shown at the point of order, plus any destination surcharges and pass-through regulatory fees. Invoices are issued in USD unless a corridor contract states otherwise. Rates may be updated on notice through the console or the rate-card feed; continuing to send after the effective date constitutes acceptance. Overdue balances may result in suspension and accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

7. Service levels and support

We target the availability and delivery objectives published in the console for your account tier. Where remedies are offered for missed objectives, they take the form of service credits described in the applicable service-level addendum, and those credits are your sole and exclusive remedy for availability or delivery shortfalls.

8. Data protection

Each party will comply with applicable data protection law in respect of personal data processed in connection with the Services. In carrying your traffic we act as a processor on your behalf for message content and recipient identifiers, and as a controller for your account and billing data. Our processing is described in the Privacy Policy published on this site. Where required, the parties will execute a data processing addendum incorporating standard contractual clauses.

9. Intellectual property

JAP retains all rights in the Services, including software, APIs, documentation, corridor scoring and the telemetry derived from operating the platform. You retain all rights in your content and your customer data. You grant JAP a limited, non-exclusive licence to process that content solely to provide, secure and bill the Services.

10. Disclaimers

The Services are provided "as is". Cross-border delivery depends on third-party carriers, registries, regulators and networks that JAP does not control. Except as expressly stated in a service-level addendum, JAP does not warrant that any interaction will be delivered, or delivered within a particular time, or that any registration will be approved by a destination authority.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data. Each party's aggregate liability arising out of or relating to the Services is limited to the fees paid to JAP in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or amounts properly owed for usage.

12. Suspension and termination

Either party may terminate for convenience on thirty (30) days' written notice, or immediately for a material breach that is not cured within ten (10) days of notice. We may suspend traffic immediately, and without prior notice where circumstances require, to protect platform integrity, to comply with law, a regulator or a carrier requirement, or to stop abusive or fraudulent traffic. On termination, leased numbers are released and outstanding usage becomes payable. Provisions that by their nature should survive termination will survive.

13. Governing law and changes

These Terms are governed by the laws of the State of Delaware, United States, excluding its conflict-of-laws rules. The parties will first attempt in good faith to resolve any dispute informally; failing that, disputes will be resolved in the state or federal courts located in New Castle County, Delaware, and each party consents to their jurisdiction. We may update these Terms by publishing a revised version on this page with a new effective date and, for material changes, notifying account holders through the console or by email. Continued use of the Services after that date constitutes acceptance.
